Everton will make a move for Steven Naismith if the forward is allowed to terminate his contract with Rangers.
The Scotland international's Ibrox future is up in the air following his decision to reject a contract from the 'newco'.
West Bromwich Albion and West Ham United have also been linked with moves for the 25-year-old, who signed for the Gers from Kilmarnock in 2007.
However, new owner Charles Green has warned Naismith, and any club that negotiates with him, that they could be in line for legal sanctions should a deal be struck.
"I can assure those players [who become free agents] and clubs who may be interested in signing them that Rangers will seek damages for breach of contract and for inducement to break contracts," said Green.
Naismith has won 15 caps for his country.
